TERMS OF SERVICE

These Terms of Service ("Terms") govern the business relationship between LUMENFORCE ("Company", "we", "us") and the purchaser ("Client", "you") for all LED warning light products and related services.

By submitting a purchase order or inquiry, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Our products and services are exclusively available to:

• Registered businesses, importers, and distributors
• Government agencies and municipal fleets
• Emergency service providers and contractors

We do not sell directly to individual consumers or end users.

3.1 Quotation Validity: All price quotations are valid for 30 days from the issue date unless otherwise specified. Prices are subject to change based on raw material costs and exchange rates.

3.2 Minimum Order Quantity (MOQ): Standard MOQ applies per product line. Custom OEM/ODM projects may have higher MOQ requirements.

3.3 Order Confirmation: Orders become binding upon our written acceptance via proforma invoice or sales contract.

4.1 Standard Terms: 30% deposit upon order confirmation, 70% balance before shipment (T/T wire transfer).

4.2 Letter of Credit: Irrevocable L/C at sight accepted for orders exceeding USD $50,000.

4.3 Credit Terms: Available to established clients with approved credit applications (Net 30/60 subject to review).

5.1 Lead Time: Standard products: 15-25 working days. Custom OEM: 30-45 working days after sample approval.

5.2 Shipping Terms: FOB Ningbo/Shanghai unless otherwise agreed. Client is responsible for freight, insurance, and customs clearance.

5.3 Force Majeure: We are not liable for delays caused by natural disasters, government restrictions, labor disputes, or material shortages beyond our control.

6.1 Coverage: 2-year limited warranty against manufacturing defects under normal use conditions.

6.2 Exclusions: Warranty does not cover damage from improper installation, misuse, accidents, unauthorized modifications, or normal wear and tear.

6.3 Remedy: Our sole obligation is to repair or replace defective products at our discretion. Client must provide photographic evidence and return defective units for inspection.

To the maximum extent permitted by law:

• Our total liability shall not exceed the invoice value of the specific products giving rise to the claim
• We are not liable for indirect, consequential, or incidental damages including lost profits or business interruption
• Client assumes all responsibility for compliance with local vehicle lighting regulations

8.1 Ownership: All product designs, molds, and technical documentation remain our exclusive property unless a separate IP transfer agreement is executed.

8.2 Custom Tooling: For OEM projects requiring custom molds, tooling fees are non-refundable. Mold ownership transfers to Client after full payment and completion of agreed production volume.

8.3 Confidentiality: Both parties agree to protect confidential business information disclosed during the relationship.

Our products comply with applicable international standards (ECE R65, ECE R10, SAE J845) as specified in product documentation. Client is responsible for verifying that products meet their jurisdiction's specific requirements before resale or installation.

Certification documents and test reports are available upon request.

10.1 Governing Law: These Terms are governed by the laws of the People's Republic of China.

10.2 Arbitration: Any disputes shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules. The arbitration language shall be English.

10.3 Costs: The prevailing party is entitled to recover reasonable legal fees and costs.

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients via email. Continued business relationship after notification constitutes acceptance of revised Terms.
